Digital Ranch Technologies shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of profits, loss of data, loss of livestock, loss of business opportunities, or loss of goodwill.

Digital Ranch Technologies' total liability for any claim arising out of or related to the Services shall not exceed the amount paid by you for the Services during the twelve (12) months preceding the claim.

You agree to indemnify, defend, and hold harmless Digital Ranch Technologies and its members, managers, officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your violation of these Terms

Digital Ranch Technologies may suspend or terminate your access to the Services at any time for violation of these Terms or misuse of the Services.

Upon termination, your right to use the Services will immediately cease.

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles.

Any dispute arising out of or relating to these Terms or the Services shall be resolved exclusively in the state or federal courts located in Texas.

Digital Ranch Technologies may update these Terms from time to time.

Continued use of the Services after any changes constitutes acceptance of the revised Terms.
